Cordage Terms of Service

These terms of service, together with any other agreements or terms incorporated by reference, including our Privacy Policy (together, the "Terms") govern your use of our Services and Website.
These Terms constitute a binding and enforceable legal contract between you and Cordage ("Cordage", "we", "us", or "our"). By accepting these Terms electronically or by using the Services, you agree to these Terms.
1. Definitions

| Output | New content generated by the Services based on your Input. |
| Services | Any applications, products, services, documentation, and software made available by Cordage. |
2. The Services; Account
2.1 Access and Use Right
Subject to your compliance with these Terms, including the payment of any applicable fees, Cordage grants you a personal, non-exclusive, non-transferable, limited, revocable right to access and use the Platform and Website, solely for your business purposes as permitted herein.
2.2 Registration and Services
You must register and establish an Account in order to use our Services. You must be at least 18 years old or the minimum age required in your jurisdiction. Cordage may update the Services from time to time, including adding, removing or modifying functions.
2.3 Account Information
You are responsible for safeguarding your Account username and password. You must provide accurate and complete information and keep your Account information up to date.
3. Fees and Payment
3.1 Payment Terms
Cordage will charge you for the Services based on your subscription terms or per the amount of prepaid credit you purchase. Fees are non-refundable except as explicitly set out in these Terms.
3.2 Usage Limits
The Services may be subject to usage limits. Exceeding the limitations may incur excess charges which will be added to your subscription fees.
4. Use Obligations & Restrictions
4.1 Use Obligations
You will only use the Services and Website in compliance with all applicable laws, rules and regulations, including those regarding data privacy and intellectual property rights.
4.2 Use Restrictions
As a condition for the access and use rights granted to you, you must not:
- Sell, resell, or lease the Services
- Access or attempt to access the Services by any means other than the interface provided
- Circumvent any access or use restrictions
- Use the Services to store or transmit unlawful or harmful content
- Attempt to disable, impair, or damage the Services
- Reverse engineer or decompile the Services
- Use the Services to develop a competing product
4.3 Content License
You grant Cordage a worldwide, non-exclusive, limited license to use your Content solely to perform and maintain the Services. You retain all your rights in the Content.
4.4 Input & Output
As between the parties, you are the owner of all Output generated by the Services based on your Input. You are responsible for both Input and Output, including ensuring they do not violate any applicable law or third-party rights.
5. Privacy
Your Content should not include any personal data where prohibited under applicable laws. Cordage will process personal data in accordance with its Privacy Policy.
6. Third Party Services, AI Models
Certain features require integration with Third Party Services, including AI Models. These are beyond Cordage's control and are provided pursuant to the applicable third party's terms and conditions.
7. Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND CORDAGE DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. Cordage does not warrant that the Services will be secure, uninterrupted, or error-free.
8. Limitation of Liability
UNDER NO CIRCUMSTANCES WILL CORDAGE BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES arising out of or relating to these Terms or the use of the Services.
The total liability of Cordage shall not exceed the greater of: (a) $100; or (b) the subscription fees paid by you in the 12 months preceding the event giving rise to liability.
9. Indemnification
You will indemnify, defend, and hold harmless Cordage from all liabilities, damages, and costs arising from claims that your Content or use of the Services infringes third-party rights or violates applicable law.
10. Term and Termination
These Terms commence on the date you first accept them and remain in effect until your registration expires or terminates. You may stop using the Services at any time. Cordage may suspend or terminate your access at its discretion.
11. General
11.1 Governing Law
These Terms shall be governed by the laws of California. The competent courts shall have exclusive jurisdiction for any dispute arising out of these Terms.
11.2 Amendments
Cordage may change these Terms from time to time. By continuing to use the Services after changes are posted, you agree to be bound by the revised Terms.
11.3 Entire Agreement
These Terms contain the entire agreement between Cordage and you relating to your use of the Services and supersede all prior agreements.
